BrokerDam Terms of Service

The Service is intended for licensed mortgage professionals and brokerages.

You are responsible for:

• Maintaining accurate account information.
• Protecting your account credentials.
• All activity occurring under your account.
• All activity performed by users within your organization.

You agree to notify BrokerDam immediately of any unauthorized access or suspected security incident involving your account.

BrokerDam is offered on a subscription basis.

• Subscription pricing is presented during signup and may be updated from time to time with reasonable notice.
• By subscribing, you authorize BrokerDam (or its payment processor) to charge the applicable subscription fees.
• Subscriptions automatically renew until cancelled.
• Additional users or seats may incur additional subscription charges.

You agree not to:

• Upload unlawful or unauthorized content.
• Upload malicious software or malware.
• Attempt unauthorized access to BrokerDam systems.
• Access another customer's data.
• Reverse engineer or decompile the Service.
• Scrape or extract data from the Service.
• Circumvent security measures.
• Benchmark the Service for the purpose of creating competing products.
• Use the Service in violation of applicable laws or professional obligations.

You retain ownership of all Customer Data uploaded to the Service.

You grant BrokerDam a limited, non-exclusive licence to host, process, transmit, back up, and otherwise use Customer Data solely for the purpose of providing the Services.

You are responsible for obtaining all necessary permissions and consents before uploading customer or borrower information.

Our handling of personal information is described in our Privacy Policy.

BrokerDam includes AI-powered features that assist mortgage professionals with document review, summarization, workflow automation, and underwriting support.

AI-generated outputs:

• are probabilistic in nature;
• may contain inaccuracies or omissions;
• are intended only to assist professional judgment;
• do not constitute lending decisions, financial advice, legal advice, tax advice, compliance advice, or professional advice.

You remain solely responsible for verifying all AI-generated information and making all lending and business decisions.

Customer mortgage files are not used to train public AI models.

BrokerDam and its software, designs, trademarks, documentation, and related intellectual property remain the exclusive property of AA BrokerDam Inc. or its licensors.

These Terms grant you a limited, non-transferable, non-exclusive licence to use the Service during your active subscription.

If you provide BrokerDam with suggestions, ideas, or feedback, BrokerDam may use that feedback without restriction or obligation.

BrokerDam may integrate with trusted third-party providers including cloud infrastructure providers, authentication providers, payment processors, analytics providers, and AI service providers.

These services are governed by their own terms and privacy policies.

The Service is provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, BrokerDam disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

You agree to indemnify and hold harmless AA BrokerDam Inc., its officers, employees, directors, affiliates, and partners from any claims, liabilities, damages, losses, or expenses arising from:

• your use of the Service;
• your uploaded data;
• your violation of these Terms;
• your violation of applicable law;
• infringement of third-party rights.

BrokerDam may suspend or terminate access to the Service if:

• subscription fees remain unpaid;
• these Terms are violated;
• required by applicable law;
• necessary to protect the security or integrity of the Service.

Upon termination, your right to access the Service ends immediately.

BrokerDam may update these Terms from time to time.

Material changes will be reflected by updating the Last Updated date and, where appropriate, notifying customers through the Service.

Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
